General Terms & Conditions of Sale

 

These general terms and conditions of sale are concluded on the one hand by Media International News LTD, whose registered office is at 71-75 Shelton Street, Covent Garden, London, WC2H 9JQ, England, registered under the official registration number n°11727156, and on the other hand, by any legal or natural person hereinafter referred to as ‘the buyer’. These conditions of sale can be consulted on the Media International News website.

 

Subject

 

The present conditions of sale aim to define the contractual relations between Media International News and the buyer and the conditions applicable to any transaction carried out. The acquisition of a service provided by Media International News implies the buyer’s unreserved acceptance of the present conditions of sale. These conditions of sale shall prevail over any other general or specific conditions not expressly approved by Media International News. Media International News reserves the right to modify its conditions of sale at any time. In this case, the applicable conditions will be those in force at the date of the order by the buyer (contract, transaction validated by an invoice, registration for an event).

 

Characteristics of the services offered

 

The services offered are those that appear on the Media International News website or on our partner websites mentioning Media International News as the owner of the website (online newspapers, websites presenting specific events, etc.). These can be adjusted according to the buyer’s request. These modifications are written on the contract (rider) or on the invoice or by simple e-mail or letter.

 

Prices

 

The prices indicated on the invoices are in EURO, exclusive of tax. VAT is not applicable to all our customers outside the UK. For UK customers, the applicable VAT will be added to the price displayed on our website. Media International News reserves the right to change its prices at any time, it being understood however that the price (including payment terms) on the contract or invoice will be the only one applicable to the buyer.

 

Orders

 

The buyer, who wishes to have a service, must

 

 – fill in an online registration form on which he/she will indicate all the requested details; if there is no registration form, an email presenting his/her registration confirmation may be used as a registration form;

– pay each invoice in accordance with the conditions laid down (payment within 8 days, unless special conditions are validated by Media International News). The buyer who sends a deposit or the payment of his first invoice confirms his request (contract, transaction, registration).

 

The buyer who uses the services of Media International News validates the content, the rate and the terms of payment of his order or registration. Confirmation of the request or use of the services of Media International News automatically entails acceptance of the present conditions of sale, recognition of having perfect knowledge of them and renunciation of the right to invoke one’s own conditions of purchase or other conditions. All the data provided and the recorded confirmation will be considered as proof of the transaction. The confirmation will be considered as a signature and acceptance of the operations carried out. If the total amount of the registration for an event is not received 3 months before the date of the event, Media International News may cancel the reservation and retain the deposit already paid.

 

Terms of payment

 

The price is payable on presentation of the invoice, within 8 days. Payments will be made by bank transfer. For payments from abroad, the currency used is the EURO.

 

Disbursements, Fees and Taxes

 

Media International News shall invoice the buyer for costs or disbursements in the event of an overrun in operating costs (outside the normal scope of the contract or registration), due to a request by the buyer for the realisation of a specific event, as well as the costs and taxes for the transport of the buyer’s products and materials. All costs relating to interventions by journalists or personalities at the request of the buyer shall also be borne by the buyer. In the case of payment of the invoice (deposit or balance) by international bank transfer, all bank charges and taxes shall be borne by the buyer.

 

Late payment

 

Any sum, including the deposit, not paid on the due date (at the latest the date of the invoice + 8 days) will automatically generate interest on late payment equivalent to the legal interest rate for the current year as well as a fixed payment of one hundred and thirty (130) euros due for collection costs. If the collection costs are higher than 130 euros, they will be charged to the buyer upon presentation of the supporting documents. Penalties at a monthly rate of 2.5% will also be applied for any overdue payments or agreed due dates.

 

Breach of contract, cancellation of enrolment, deferral of enrolment

 

In the event of breach of contract by the buyer, the latter formally undertakes to settle the invoices already issued for payment. The buyer or Media International News may break a contract binding them at least 3 months before the date of the event, notified by a simple e-mail or letter. In case of cancellation of registration, the amounts invoiced (value of the event concerned) are due:

– more than 6 months before the event: at 30% (value of the deposit)

– 6 months to 3 months before the event: 50%,

– less than 3 months before the event: 100%.

 

In the event of postponement of an event for any reason decided by Media International News (Covid or other commercial, legal or health reason without having to justify the reason), the deposits and sums already paid will not be reimbursed but the deadline for full payment of the registration will be modified by the same duration as the postponement. If an event is postponed by one year, the deadline for payment of the registration is also postponed by one year.

An event can be postponed at any time up to the first day of the exhibition in the event of an extreme situation (covid or health and governmental situation forcing us to postpone the exhibition). 

In the event of a postponement, the buyer will be notified by email of the postponement and the next exhibition dates (in most cases the postponement will be for 12 months so as not to alter schedules)

 

Responsibilities

 

The responsibility of Media International News, in its sales process, shall not lead to compensation exceeding the monthly amount paid by the buyer for the services provided for in the contract or to one twelfth of the amount presented on the invoice (up to a maximum of 750 €) for a transaction or registration. Media International News has subscribed to a civil liability contract. The buyer, when registering for an event organised by Media International News, undertakes to take out individual insurance to cover civil liability towards third parties, the risk of damage to property (theft, fire, accidents, etc.) and food risks following the consumption of food or drink presented by the buyer during the event. Media International News shall not be held liable for any damage suffered by the buyer for any reason whatsoever, in particular late opening, lack of visitors, premature closure of the event, closure or destruction of stands, fire or any other type of disaster, natural disaster, etc. Media International News shall not be held liable in the event of loss or theft on the premises of the event or in the vehicle parked in a neighbouring car park. The buyer shall use his own insurance for this purpose. This must therefore cover at least the risks that he and his staff incur or cause to be incurred by third parties, for the duration of the event, including the days of installation and dismantling. The buyer must also take out insurance against theft and to cover any damage to the goods on display. During an event, the buyer is responsible for his stand and the people present there. In any case, Media International News is not bound to any obligation of commercial or financial result with regard to the buyer. The purchaser declares that he/she waives the right to exercise any recourse against Media International News, the operator or the owner of the buildings housing the event, for any nature, cause or effect whatsoever. Media International News, in its online information process, is not bound by any obligation; it cannot be held liable for any damage resulting from the use of the Internet network such as loss of data, intrusion, virus, breakdown of service, or other involuntary problems.

 

Intellectual property

 

All elements of the Media International News website are and remain the exclusive intellectual property of Media International News. No one is authorized to reproduce, exploit, rebroadcast, or use for any purpose whatsoever, even partially, elements of the site, whether software, visual or audio. Any simple link or hypertext link is strictly forbidden without the express written consent of Media International News.

 

Personal data

Personal information relating to buyers may be subject to automated processing by Media International News for administrative and commercial purposes. Buyers or users of the Media International News website have the right to access and rectify data concerning them or may object to its use by notifying Media International News using the contact form on the Media International News website.

 

Archiving – Proof

 

Media International News shall archive registrations and invoices on a reliable and durable medium constituting a faithful copy. The computerized or paper registers of Media International News will be considered by the parties as proof of communications, orders, payments and transactions between the parties.

 

Settlement of disputes

 

These terms and conditions of sale are governed by the laws of the United Kingdom. In the event of a dispute, jurisdiction is given to the Commercial Court of London after the parties have exhausted all means to reach an amicable agreement.
